Apply On behalf of our client, a Canadian-based international gold mining company Dundee Precious Metals, Manpower Serbia is searching for a motivated candidate to take the challenge and successfully fulfill the position of Legal & Compliance Manager.

Job description

Legal Affairs
  • Manage the Company’s legal affairs to promote and protect its interests and strategic objectives.
  • Provide legal advice to management on all matters involving legal issues, including permitting of project and activities, litigation proceedings, dispute avoidance and resolution.
  • Collaborate with management to ensure compliance of public documents with the applicable legal requirements;
  • Check and confirm all relevant legal documentation and correspondence.
  • Provide legal support to management in managing relations with government and other external stakeholders and, as required, liaise with relevant authorities concerning legal matters.
  • Advise on employee contracts, labor relations and collective bargaining arrangements.
  • Draft, review and negotiate contracts required for the implementation of the Company’s projects and regular business activities.
  • Review procurement and tender documents for compliance with applicable laws, regulations and internal policy documents.
  • Manage litigation proceeding, collaborating with an external counsel.
  • Manages external counsel as required to maximize service quality.
  • Remain current on all relevant legal trends, developments, and issues related to the Company’s business and stays abreast of proposed regulatory changes.
  • Monitor legal risks and prepare plans to resolve legal issues.
  • Establish positive professional relations with national and local institutions, NGO and professional organizations regarding exploration and mining activities.
  • Protection of all company information and confidentiality.
Compliance Matters
  • Collaborate with management to identify and effectively manage compliance risks and ensure legal compliance across the business.
  • Implement compliance systems and processes for DPM Avala in line with the DPM Group compliance systems and processes.
  • Develop and implement DPM Avala policy documents, in line, where applicable, with DPM Group Policy Documents.
  • Advise management on means to effectively deal with potential violations of DPM’s Code of Business Conduct and Ethics and its supporting policies.
  • Manages speak up investigations, as well as other compliance issues and recommends corrective actions, as required.
  • Support the third party due diligence process at DPM Avala in accordance with DPM Group anti-bribery and anti-corruption policy documents.
  • Manage the development and delivery of ethics & compliance trainings to employees and, where necessary, third parties.
  • Manage Disclosure Process for Serbian entities.
Risk Management
  • Work collaboratively with the management and DPM corporate personnel to support risk management at DPM Avala in line with DPM’s enterprise risk management framework. This includes working with the management and risk owners to ensure key risks are identified, assessed and adequately mitigated.
Entity Management
  • Manage the preparation and maintain all legal obligations and required official Company filings, documents, reports and records according to the applicable laws and regulations, ensuring compliance with statutory and regulatory requirements.
  • Ensure that the Company’s legal representatives have the proper advice to carry out their duties.
Budget
  • Develop and manage legal and compliance budget.
Position Requirements
  • LLB Degree
  • Bar exam
  • 10 + years’ experience in legal roles (managing complex legal matters)
  • Experience in corporate/commercial legal capacity with either a law firm and/or in-house.
  • Experience in Mining and/or Oil and gas industries is ideal.
  • Experience managing complex situations
  • In depth knowledge of corporate and commercial law, and other laws applicable to the mining industry
  • Expertise in contract drafting and negotiations
  • Managerial skills (planning, leading, organizing)
  • Strong communication skills for effective interaction with Company personnel at all levels, regulatory bodies and other external stakeholders
  • Ability to effectively manage engagement of external legal counsel, where applicable
  • Excellent command of English language
  • Cross-cultural awareness and sensitivity
  • Ability to work to tight deadlines and manage several projects at any one time
  • Ability to use initiative and provide solutions
  • High integrity and confidentiality
  • Diplomacy & tactfulness
